Terms and Conditions

1. Applicability

1.1 These Terms and Conditions apply to all services provided by True Blue Digital Media Ltd (“TDH”), operating as TopDollarHub. By registering as an affiliate or publisher, the Affiliate agrees to be bound by these Terms and Conditions.

1.2 By signing up or using TDH’s services, the Affiliate agrees to these Terms and Conditions to the exclusion of all other terms, including any terms implied by trade, custom, or business practice.

1.3 Acceptance occurs when the Affiliate:
	•	Completes TDH’s registration process,
	•	Places any Ads within its Medium, or
	•	Engages in activities consistent with fulfilling the Services.

2. Definitions
	•	Ads: Includes banner ads, pop-ups, lead generations, promotional material, etc.
	•	Advertiser: A business or individual engaging TDH to generate Conversions.
	•	Affiliate: Any entity registered as an affiliate or publisher on TDH’s network.
	•	Artificial Traffic: Invalid traffic such as bots, automated clicks, or fraudulent activity.
	•	Conversion: A completed action such as a click, lead, or purchase.
	•	Medium: The platform (website, app, etc.) where Ads are placed.
	•	Service: Advertising services provided by the Affiliate through TDH.
	•	Tracking Code: Code embedded in ads for tracking conversions.

3. The Services

3.1 The Agreement takes effect when the Affiliate is accepted into TDH’s network and remains in effect until terminated.

3.2 The Affiliate must:
	•	Use the Provided URL to create and embed the Tracking Code,
	•	Place Derivative URLs in its Medium,
	•	Follow TDH’s campaign requirements.

3.3 TDH reserves the right to suspend services if:
	•	The Affiliate’s company information is incomplete,
	•	The registration form is not properly completed,
	•	The Affiliate fails to comply with TDH’s policies,
	•	The Affiliate does not meet contractual obligations.

3.6 TDH does not guarantee any results from its campaigns.

3.8 The Affiliate is responsible for ensuring all Ads comply with applicable laws and industry regulations.

4. Restrictions

4.1 The Affiliate must not:
	•	Use celebrity images without authorization,
	•	Broker offers without TDH’s permission,
	•	Use click-under, spam, bots, malware, fraud, or chat traffic.

5. Payment

5.1 TDH requests conversion statistics from Advertisers periodically.

5.2 Payments are made based on TDH’s tracking system.

5.3 Any disputes must be reported within 7 days of the invoice date.

5.4 Chargebacks and deductions require TDH’s written approval.

5.5 Payment fees:
	•	Wire Transfer: $25
	•	PayPal: $10

6. Term and Termination

6.1 The Agreement lasts one (1) year, renewing automatically unless terminated.

6.2 Termination can occur:
	•	By the Affiliate with 72 hours’ notice,
	•	By TDH at any time with immediate effect.

6.3 Upon termination, the Affiliate must:
	•	Stop using the Service,
	•	Remove all links to TDH’s campaigns,
	•	Delete confidential information received from TDH.

7. Confidentiality & Intellectual Property

7.1 The Affiliate must keep all Confidential Information private.

7.2 TDH owns all Intellectual Property Rights related to its services.

7.3 Advertisers are responsible for ensuring their Ads comply with applicable laws.

8. Compliance & Data Protection

8.1 The Affiliate must comply with:
	•	GDPR (General Data Protection Regulation),
	•	TDH’s privacy policy and code of conduct.

8.2 The Affiliate must obtain user consent for cookies and personal data processing.

8.3 TDH monitors fraud detection and may take action against Artificial Traffic.

9. Limitation of Liability

9.1 TDH is not liable for:
	•	Defects, service interruptions, or data loss,
	•	Errors in Ads placed on Advertisers’ websites,
	•	Fraudulent actions of third parties.

9.2 If TDH is found liable, damages are limited to €5,000.

10. Miscellaneous

10.1 Affiliates must provide accurate business information and notify TDH of any changes.

10.2 TDH may amend these Terms at any time by notifying Affiliates or updating its website.

10.3 No partnership, employer-employee, or joint venture relationship is created by this Agreement.

11. Governing Law & Dispute Resolution

11.1 These Terms are governed by United Kingdom law.

11.2 Any disputes shall be resolved in UK courts.
